Independent Contractor Agreement

1. Parties

This Agreement is between Calisto One ("Company") and you ("Contractor"), an independent freelance agent performing services through the Calisto Backstage platform.

2. Scope of Services

Contractor may perform any combination of the following services, subject to certification requirements:

  • Customer Service: Resolving support tickets via chat, messaging, and voice for Calisto Pro subscribers across 17 verticals
  • Outbound Sales: Contacting qualified business leads to introduce Calisto Pro, with a structured 3-attempt outreach sequence per lead

3. Compensation

Contractor is compensated on a per-task basis. There is no guaranteed hourly wage, salary, or minimum compensation. Current rates:

  • Customer service: $1.50 USD per ticket resolved, multiplied by tier
  • Sales: $8.00 USD per new client wallet activation
  • Training: $5.00 USD general bonus + $5.00 USD per vertical certification
  • Referral: $20.00 USD per qualified referral

Tier multipliers: Probation (0.80x), Standard (1.00x), Senior (1.15x), Lead (1.25x). Rates may change with 30 days written notice.

4. Payment

Payments are processed bi-weekly via Wise in Contractor's selected settlement currency. Exchange rates are locked at the Wise mid-market rate on the payout date. Contractor is responsible for all applicable taxes in their jurisdiction.

5. Relationship of Parties

Contractor is not an employee, partner, or agent of Company. Contractor controls the manner and means of performing services, including work location, hours, and equipment. Company provides the platform, task assignments, and training materials. Contractor may accept or decline any task at their discretion.

6. Confidentiality

Contractor agrees to maintain the confidentiality of all business information, customer data, and proprietary systems accessed through the platform. This obligation survives termination of this Agreement.

7. Quality Standards

Contractor agrees to maintain honest and accurate task reporting. Verified false reports (reporting "not interested" or "bad contact" when outreach was not completed or contact information is valid) result in a $3.00 USD penalty per occurrence. Repeated violations may result in account suspension or termination.

8. Intellectual Property

All work product created during task completion (including contact notes, outreach records, and discovery data) is the property of Company. Contractor retains no rights to customer lists, lead data, or platform-generated content.

9. Termination

Either party may terminate this Agreement at any time, with or without cause, by written notice. Upon termination, Contractor will be paid for all completed tasks through the next scheduled payout cycle. Pending bonuses (referral, milestone) will be honored if qualification criteria are met by their respective deadlines.

10. Governing Law

This Agreement is governed by the laws of the State of Delaware, United States. Any disputes will be resolved through binding arbitration.
